Terms of Use

THIS IS A CONTRACT BETWEEN YOU (OR THE ENTITY YOU REPRESENT, HEREINAFTER “YOU” OR “YOUR”) AND EFCO International (“EFCO”).

Agreement Parts

This Agreement comprises:

1. these terms and conditions (the “General Terms”), and

2. if applicable, specific terms for individual Services (the “Service-Specific Terms”).

   In the event of conflict, the Service-Specific Terms prevail over the General Terms.

Acceptance of the Agreement

To accept this Agreement, you must be of legal age to enter into a binding contract. If you do not agree with the General Terms, do not use any of our Services. Accepting the General Terms but not the Service-Specific Terms means you must not use that Service. You may accept this Agreement by checking a confirmation box, clicking a button, or by using the Services.

Description of the Service

You are responsible for obtaining the necessary equipment and internet access to use the Services. With your user account, you can create, edit, publish, and share content if you choose to do so.

Beta Services

EFCO may offer certain Services in beta (“Beta Service(s)”) for testing and evaluation. EFCO alone determines the duration and success of beta testing and whether to launch it commercially. No paid subscription is required. EFCO reserves the right to modify, suspend, or discontinue any Beta Service, in full or in part, at any time, with or without notice. EFCO is not liable for any resulting damages.

Free Trial

If you sign up for a free trial of any Service, EFCO will provide that Service free of charge until:

(i) the trial expires;

(ii) your paid subscription starts; or

(iii) EFCO decides otherwise.

Data and customizations during the trial will be lost unless you upgrade to a paid plan or export them before the trial ends. The Services are provided subject to applicable laws.

User Registration Obligations

To access or use the Services, you must register and provide all required information. Users representing organizations should use corporate details and email addresses. You commit to providing and maintaining truthful, current, and complete registration data. EFCO may suspend or terminate accounts for false or outdated information.

Usage Restrictions

In addition to all other terms you agree not to:

• Transfer or sublicense the Services

• Provide services based on the Services without written permission

• Share user licenses

• Reverse engineer or decompile the Services

• Use links, logos, or trademarks of EFCO or third parties without consent

• Attempt unauthorized access or harm EFCO’s systems

• Upload harmful software

• Misuse the integrity or security of the Services

• Impersonate others or mislead about message origins

• Host or share information you don’t have rights to

• Use the Services for unlawful or harmful purposes

• Send spam, phishing, or bulk unsolicited communications

  EFCO may terminate access if there are reasonable grounds to suspect illegal use.

Spam and Illegal Activities

You alone are responsible for any content you transmit. You must not use the Services for illegal, harassing, threatening, obscene, infringing, or spam content. EFCO may terminate your access if misuse is suspected.

Third-Party Applications

EFCO integrates with third-party apps (“Third-Party Applications”). Use of those apps may require agreeing to additional terms. You are responsible for reviewing those terms. EFCO is not liable for them and may suspend or disable access at any time.

Fees and Payment

Services are offered under subscription plans. Subscriptions under one year require credit card payment. Paid plans auto-renew each period unless downgraded or cancelled seven days before renewal. Fees will be charged to your last credit card. EFCO may change prices, which takes effect after your current billing cycle. Extra taxes will be billed. EFCO will provide invoices, including tax details.

Organization Accounts and Administrators

For organization accounts, you may designate one or more admins. Admins can manage settings and users. If a third party administers your account, ensure proper agreements are in place. You are responsible for protecting passwords, appointing authorized admins, and ensuring compliance with this Agreement. EFCO does not manage your internal administration.

Personal Data and Privacy

Your personal data provided through the Service is subject to EFCO’s Privacy Policy. Using the Service acknowledges acceptance of that Policy. You are accountable for maintaining confidentiality of credentials and notifying EFCO immediately about unauthorized access.

Communications from EFCO

You’ll receive administrative notices, service announcements, and newsletters as part of using the Service. You can unsubscribe from newsletters but not from essential service announcements.

Complaints

If EFCO receives a complaint about your activities, it will forward it to your account’s primary email. You must respond within 10 days and cc EFCO. Failure to do so may result in EFCO disclosing your name/contact info to the complainant.

Inactive Account Policy

EFCO may terminate unpaid accounts inactive for 120 continuous days. You will receive notice and backup options before data deletion. Inactivity is tracked separately for each Service.

Data Ownership

You retain ownership of content you create or upload. EFCO does not receive a license for commercial or marketing use, but EFCO is permitted to store, transmit, display, and format content as needed to deliver Services.

Hosting Location

Service hosting is mapped by your region/country at signup. EFCO may update mappings and may require account migration or closure if mismatch occurs. Local data copies may be stored if EFCO has regional offices.

User-Generated Content

You alone are responsible for any content you post. Public content is accessible and indexed. You must not remove copyright notices or bypass protections. You represent that you have all permissions or rights to share content and agree EFCO may remove content if it violates rights or laws. You authorize EFCO’s DMCA/responsible agent for infringement claims.

Trademarks

EFCO, its name, logos, and Service marks are EFCO’s trademarks. You agree not to display or use them without prior permission.

Disclaimer of Warranties

You understand that your use of the Services is at your own risk. Services are provided “as is” and “as available.” EFCO disclaims all warranties, including implied merchantability or suitability. EFCO does not warrant uninterrupted or error-free operation. Any downloadable materials are at your own risk. Advice or information from EFCO personnel is not a warranty.

Indemnification

You agree to indemnify EFCO, its officers, employees, suppliers, and affiliates from any claims, losses, or damages (including legal fees) arising from your use of the Services in violation of the Agreement or applicable law.

Governing Law and Jurisdiction

Disputes for paid customers are governed by the law of your billing address jurisdiction. For all others, it is your place of residence. You agree to exclusive jurisdiction of courts in that region.

Suspension and Termination

EFCO may suspend or disable your account for suspected illegal activity, prolonged inactivity, or upon request from law enforcement. You may appeal suspension within 30 days to [email protected]. Accounts not reinstated after 30 days may be terminated. You may terminate your account at any time. EFCO may terminate for breach or technical issues. If EFCO materially breaches this Agreement, you may terminate and receive a proportional refund of prepaid fees.

Changes to the Terms

EFCO may update this Agreement by notice via service or email. Material changes will be notified 30 days prior. You may terminate within 30 days of notice and receive a pro-rata refund. Continued use after changes implies acceptance.
